Innovative contracts 


GREEN LEASE STORE CHAIN
Boot Advocaten drafted agreements for major real estate investor, Green Lease, in which the interests of tenant and landlord in making property and business operations more sustainable are included. The benefits and costs of sustainability are evenly distributed among both parties. The agreements will become standard agreements for all retailers in this investor's malls. 

PROJECT SASSEMBOURG
Boot Advocaten advises and assists Woonstichting De Vooruitgang in the tendering and contracting of the Sassembourg project. This residential care project consists of the realization of 91 rental and owner-occupied homes, a parking garage and the construction and/or operation of the ATES. Heat and cold are supplied by a thermal storage system. Boot Advocaten supervised the tender and developed an organizational structure in which the owner, Esco and a management company are linked in the most optimal legal and fiscal manner. All contracts were also drawn up to lay out this collaboration in an innovative manner, including a DBFMO contract, in which both the realization of the ATES and the exploitation for 30 years is properly arranged.

HOSPITAL LIMBURG
An Energy Service Company was assisted by Boot Advocaten in tendering for a thermal energy storage system for a hospital. An innovative form of cooperation, an Energy Cooperative, was established for this successful tender. Various agreements and statutes were drawn up for this with clear mutual coordination. 
 
MUNICIPALITY OF HAARLEMMERMEER/CULTURE CENTER HOOFDDORP
In this project, Boot Advocaten has innovatively integrated contracting and tendering with the construction process through close cooperation with construction consultants who have also contributed to further cost control.
The 'Culture Center Hoofddorp' project concerns the engineering and realization at various locations of Schouwburg de Meerse, Pier K (center for arts education), Center for Pop and Youth Culture (in development), public library, cultural café and finally shared facilities (passage).

FOOTBALL STADIUMS
Drafting the cooperation agreement for the construction consortium and the contracts for the realization of the football stadiums in Arnhem and Dublin (Ireland).

PROJECT MUNICIPALITY OF UTRECHT (PLAN AREA LEIDCHE RIJN)
Advising on the revision of a cooperation agreement between the municipality and a contractor. The cooperation agreement provides for the development of 80 homes in the higher segment in the Leidsche Rijn planning area.
 
ROTTERDAM/THE VERANDA
Overall supervision of the construction consortium in the realization of 240 apartments in Rotterdam, drawing up contracts and advice regarding the handling of additional/less work, delivery issues, insurance issues and arbitration procedures.

MUNICIPALITY OF TILBURG/SPOORZONE
Boot Advocaten supervised the tender and the contracting after the tender of  masterplan “De Werkplaats”. This plan forms the basis for the Spoorzone core area. The basic program offers a minimum of 220,000 m² of development, which can be divided into 150,000 m² of living, 25,000 m² of work, 20,000 m² of catering, 10,000 m² of culture, possible, 60,000 m² of education, 10,000 m² of commercial facilities and 5,000 m² of other facilities.  In the coming years, the area will be redeveloped into a high-quality central urban location with homes, offices and educational, cultural and leisure facilities. Through a tender process, a developer was selected as a partner in 2010 to work with the City of Tilburg to develop a Master Plan for the area  The selection and award criteria were innovative and led to a successful tender for a large-scale area development.

In the context of the current crisis, the winner can no longer meet its obligations. Boot Advocaten assisted the municipality in the renegotiations. Within the scope of the tender and the associated contracts, new conditions have been set and further agreements have been made. Boot Advocaten advises the municipality on the land transactions and the further content of the cooperation agreement. Boot Advocaten connects and coordinates the tax specialists, land price experts and responsible department heads with the market party on the basis of the A-team concept.

PPS NATIONAL MILITARY MUSEUM SOESTERBERG
Advising the contractor on the contracts for the new Defense Museum that will be located on the airfield in Soesterberg.

NUON EEMSHAVEN
Boot Advocaten supervised the discussions between the parties and drew up the contracts for this complex project, a new power station in Eemshaven. This power station is based on the so-called multi-fuel concept. This is a concept in which several types of fuels such as gas, biomass and coal can be used. This plant will serve as a model for the new generation of power plants. Mitsubishi Heavy Industries Ltd. will supply the turbines.

UTRECHT CITY OFFICE
Boot Advocaten advised the builder of the steel structure of the new Municipal Office in the center of Utrecht  on contract formation and implementation.

NITROGEN BUFFER HEILIGERLEE
Boot Advocaten drew up an EPC contract, based on FIDIC Silver Book, for the engineering and realization of an important part of the Heiligerlee nitrogen buffer project. The Joint Venture required for this was selected on the basis of a European tendering procedure. Boot Advocaten supervised the registration and contracting and provided contract management. The project involves the production and storage of gaseous nitrogen in an (existing) salt cavern. In a mixing station, the nitrogen extracted from the cavern is mixed with high-calorific gas to produce gas that is suitable for Dutch households. The cavern serves as  buffer storage.
 
INNOVATION CENTER NIJMEGEN
Boot Advocaten drew up the contracts for the design of Heinz's new international Innovation Center in Nijmegen.

SPARKASSEBANK KREFELD
Advising on the contracts for the design of the new headquarters of the Sparkasse bank in Germany.

SOUND INSULATION PROJECT SCHIPHOL PHASE 2 (GIS II)
KLM and Schiphol Airport had a conflict with the Ministry of Transport, Public Works and Water Management about the costs of the Sound Insulation Project Schiphol GIS II and GIS III. Boot Advocaten provided legal assistance to KLM and Schiphol Airport in this matter. The GIS project included the insulation of approximately 14,000 homes around Schiphol in order to reduce noise nuisance. Rijkswaterstaat passed on the costs of this project to the airlines. The Airport Schiphol NV handled the administrative settlement of the charges imposed on them. The project was hit by major delays and massive cost overruns. So until then, only approx. 7,700 homes were insulated and the costs of GIS II rose from 180 million euros to 396 million euros in the period 1995-2003.
The most important achievements in this case are that Boot Advocaten, in collaboration with technical experts, produced a report in three months' time, revealing the causes of the cost increases. Based on the report by Boot Advocaten, former State Secretary Melanie Schultz ordered the Netherlands Court of Audit to conduct an investigation. Boot Advocaten then assisted Schiphol Airport in drafting comments on the draft memorandum of findings and the draft final report GIS II of the Court of Audit.
 
One of the conclusions of Boot Advocaten's report was that the government acted contrary to European procurement rules and entered into new contracts with contractors and consultants, resulting in a large part of the cost increase. The legal services also consisted of drawing up and elaborating models for possible public-private partnerships between the government and the aviation sector. Boot Advocaten's advice contributed greatly to the fact that the State has now reduced the bill for the sector by 110 million euros. There is also a proposed amendment to Article 77 of the Aviation Act, which should still provide a legal basis.

ENERGY GENERATION INSTALLATIONS/AM WONEN
Boot Advocaten advises the energy operator on the design, development, acquisition and operation of sustainable Energy Generation Installations in all existing and future projects of AM Wonen.

COMBINATION ENERGY COMPANY
Advice on the choice of forming a combination or subcontracting. Drafting cooperation agreement for the purpose of the tender.
 
ESSENT DEN BOSCH BUILDING
Drawing up a Design & Build contract for Essent's office building in Den Bosch. Supervision of the tender.

RABOBANK UTRECHT HEADQUARTERS
Drawing up an architectural contract for the new construction of the extension of the head office in Utrecht.

MUNICIPALITY OF ZANDVOORT/LOUIS DAVIDSCARRÉ
The Louis Davidscarré project is being realized near the center of Zandvoort. It concerns the design and realization of a public underground parking garage with buildings and a layout of public spaces above it. The buildings include a Community School with educational functions of a public and a special primary school, with an extra room, a children's centre, two playgroups, a public library, Zandvoort care desk, socio-cultural areas, a sports hall, various communal areas and the design of (semi-)public space on the parking roof. In addition to commercial spaces, approximately 170 owner-occupied and rental homes are being built in various market segments.

Boot Advocaten provides full advice and implementation of the tender, contracting in the field of cooperation and construction (including contract annexes), and the transfer and establishment of rights in rem and land in close cooperation with civil-law notaries, tax specialists and architectural consultants. Boot advises on the parallel tendering of the realization and management of the alternative energy supply, which must also be incorporated into the entire tendering process. Alternative planning should also be taken into account due to the construction based on private development rights near the project. Boot is closely involved in selecting developers and evaluating applications. Administrative law processes are also followed.

GREEN PLANTS FOR MILITARY COMPLEXES AND TRAINING AREAS
Advising and supervising  the tendering of green contracts for all military complexes and training grounds in the region of North and South Holland and Utrecht as well as drawing up the framework contracts for forestry and wildlife management (UAV-GC). Handling tender and implementation disputes.
 
MUNICIPALITY OF EEMNES/PROJECT ZUIDPOLDER
Boot Advocaten assisted the municipality in the tender for a large-scale PPP area development of 38 hectares in the Zuidpolder planning area in Eemnes. In the area, 500 homes, 4 hectares of industrial estate, approximately 3,500 m² of facilities (school with reception and care facilities) and a green buffer zone will be realized.
The land is owned by the municipality, project developers and private individuals. In order to centralize these fragmented development rights, Boot Advocaten has supervised the necessary land transactions.

AMSTERDAM MUNICIPAL TRANSPORT COMPANY/MULTI-YEAR REPLACEMENT PLAN
On behalf of the Amsterdam Municipal Transport Company, Boot Advocaten is involved in supervising the implementation of a multi-year relacement plan consisting of the renewal of tracks, switches, crossings, telecommunications and energy supply on the Amsterdam metro track.
This project requires not only specific knowledge of procurement law and construction law, but also specific knowledge of switches, switch machines, etc.

MARKTHAL ROTTERDAM BV
Boot Advocaten advised the developer Vesteda on the contracting for the Markthal project in Rotterdam. The commercial part of the planned market hall in the center of Rotterdam consists of a covered market floor with 100 fresh food units, 4,600 m² for food-related shops, 1,800 m² for Albert Heijn, Gall en Gall and Etos and 1,600 m² for catering . Furthermore, an underground parking garage of 4 floors with approximately 1200 spaces is being built. It is scheduled to be completed by mid-2014.

MUNICIPALITY OF BOLSWARD/SCHOOL LOCATIONS
The overall legal guidance of the municipality of Bolsward in the development of three school locations. Also in redevelopment, supermarket, and housing.

TECHNICAL INSTALLATIONS ERASMUS UNIVERSITY ROTTERDAM
Boot Advocaten has drawn up pre-selection and tender documents as well as the framework contracts for the implementing parties for the maintenance of the technical installations of all university buildings.

PROVINCE OF NOORD-BRABANT / RESTRUCTURING BUSINESS PARKS
The supervision of the Board of the Provincial Executive of the Province of Noord Brabant for the realization of a fund aimed at the restructuring of  business parks within the province.

MUNICIPALITY OF PIJNACKER – NOOTDORP/BOEZEM II
Boot Advocaten assisted the municipality of Pijnacker-Nootdorp in the development of the new Boezem II business park. Boot Advocaten advised the municipality with regard to the ATES facility and the infrastructure to be constructed in the field of tendering law, administrative law and contract law, and with regard to allotment and land allocation in the field of contract law.

MUNICIPALITY OF ROTTERDAM/PROJECT “ROTTERDAM CENTRAL DISTRICT”
In the context of contract formation, the municipality is advised in the field of contract law, procurement law and taxation, as well as in the field of spatial planning, on a full-service basis. Finally, in the context of this project, the municipality is legally assisted. in the redevelopment of the Schiekadeblok in Rotterdam Central District.

MUNICIPALITY OF VEENENDAAL – PROJECT BROUWERSPOORT
Boot Advocaten provided the  legal guidance and coordination of one of the larger redevelopments of a city center in the Netherlands: "Het Centrumplan Brouwerspoort te Veenendaal." The municipality of Veenendaal has far-reaching ambitions to transform the city center with a rich industrial past and associated industrial heritage into a modern shopping area with a regional function over the next ten years. The plan includes more than five hundred homes, more than 1700 indoor and external parking spaces, 4600 m2 retail, 6200 m2 services, 19,140 m2 municipal services and cultural facilities, 800 m2 catering, and 6000 m2 furniture showrooms.Various developing and building market parties, in addition to the municipality, have gained development rights within the planning area, with sometimes conflicting interests.

Boot Advocaten supervised the tendering process for the area development and assisted in the negotiations with regard to the conclusion of cooperation agreements with developers and contractors, land allocation agreements, and purchase agreements, as well as the termination of cooperation agreements, land allocation agreements and purchase agreements. Boot Advocaten is also involved in administrative law procedures.
Commercial interests must be aligned  with political-administrative interests and decision-making. In a complex center development, it is important to deploy, coordinate and monitor the right expertise  efficiently. Knowledge is required of administrative law, procurement regulations, state aid, taxation and, of course, private law aspects. Experts such as  financial analysts, land exploitation experts and parking garage experts are also deployed. Within this dynamic, Boot forms a pivotal coordinating function.  

MUNICIPALITY OF TILBURG/VORMENFABRIEK
Boot Advocaten advises and assists the municipality in the proposed redevelopment and land allocation of the Vormenfabriek area. The land allocation was also tested for procurement law aspects. The location will be redeveloped and will be used for residential purposes.

MUNICIPALITY OF WIJDEMEREN – OUD LOOSDRECHT VILLAGE CENTER
Boot Advocaten advises the municipality to redevelop this project and to let the assignment take place in smaller transactions, while also paying attention to European regulations, including procurement law and state aid.

MUNICIPALITY OF ZAANSTAD/ADVICE VVE
Boot Advocaten assists the municipality of Zaanstad with the centralization of the municipal real estate portfolio. To this end, it has taken care of the division into and transfers of apartment rights for the extensive joint housing of the Zaanstreek/Waterland police, the theater and for retail and office spaces.

MUNICIPALITY OF ZWOLLE/WILLEMSPOORT-VOGELTJESBUURT
Boot Advocaten supervises the tendering, cooperation and realization agreements and the land transactions regarding the  integrated building complex that is being developed in collaboration by means of a municipal land allocation by the municipality of Zwolle and Multi Vastgoed BV. It consists of a car park with 840 spaces, shops and a cinema with public space and approximately fifty homes to be built adjacent to it.

MUNICIPALITY OF WIERINGERMEER/METAFOOR WIRINGHERLANT
Guiding the project office and external consultants of the municipality in the  European tender procedure and the contracting for a mix of public and commercial facilities, including a community school, a theater, a swimming pool, infrastructure, 500 homes and other commercial facilities.

MUNICIPALITY OF ERMELO/DE VERBINDING
Advice on the development model to be chosen: land allocation model or joint land exploitation company. In addition, the municipality was assisted in drawing up contracts for the redevelopment, the relocation of the bus company, the relocation of a supermarket and the development of retail space and homes.

MUNICIPALITY OF ZANDVOORT/PROJECT MIDDLE BOULEVARD
Boot Advocaten advised the municipality on all legal aspects that were discussed during the development of the project and are relevant to the project. More specifically, the conclusion of further agreements and the execution of land transactions with various (market) parties. 290 homes will be realized in the area, as well as 7,895 GFA for retail, 1,100-4,300m² of hotel space and 53,100m² for functions in the field of catering and tourism.

MUNICIPALITY OF GORINCHEM/MFA
The overall supervision of the Board of the Mayor & Aldermen of the municipality of Gorinchem, the municipal council, a care institution, a housing corporation and a school board in the development of a multifunctional new complex for living, learning and care. The starting point is a VAT benefits structure that offers savings. The structure has been incorporated into a cooperation agreement.

MUNICIPALITY OF HAAKSBERGEN/FRANKENHUIS
Assisting the municipality with the relocation of a factory, but also with the redevelopment of a vacant location and housing; three-party agreement.

MUNICIPALITY OF HAARLEMMERMEER
Supervising the municipality, care institution, housing corporation and private projects in the realization of a retirement home, daycare center and the construction of new homes.
 
MUNICIPALITY OF KAMPEN/SPOOLDERWERK
The realization of a land allocation agreement with a surface area of 86,000 m2 pdv / gdv.

MUNICIPALITY OF BERGEN OP ZOOM/SWIMMING POOL
Assisting the municipality in the strategic choices that need to be made in the field of tendering and contracting for the redevelopment of a swimming pool into an amusement park.

MUNICIPALITY OF AMSTERDAM/WESTELIJKE TUINSTEDEN
Supervising a private party in the inner-city redevelopment of the Westelijke Tuinsteden in Amsterdam on the basis of a public-private partnership agreement between the municipality and a private consortium.

Supervising the municipality in the realization of the Zuiderzeehaven in a CV/BV construction, with three government authorities and seven private parties, including park management.

MUNICIPALITY OF LEEUWARDEN/BLITSAERT
Advising on the establishment of CV-BV Blitseart for the construction of 550 expensive residential units and a PPP structure for restructuring areas, including the legal design of the cooperation agreements.

MUNICIPALITY OF NIJVERDAL/CENTER PLAN
Assisting the municipality with the redevelopment of the center, shops, homes, parking garage.

MUNICIPALITY OF ROOSENDAAL
Shaping a public-private partnership between the municipality of Roosendaal and a combination of three project developers for the new construction of owner-occupied and rental homes.

DEPARTMENT OF DEFENSE/INTRUDER DETECTION SYSTEM
Selection of the supplier for the development and installation of an intruder detection system at naval barracks in the Netherlands. Drafting a maintenance agreement regarding the Navy's Intruder Detection System. Contract award by negotiated procedure without prior notice.

MUNICIPALITY OF TILBURG/DE ZUIDLANDEN
Advising on the public-private partnership between three developing parties and the municipality of Tilburg for the development of the new building project De Zuidlanden (6500 homes).

MUNICIPALITY OF KAMPEN/HANZEWIJK
Advising on the restructuring of Hanzewijk with approx. 1000 homes, retail space, schools, welfare center, residential care functions and an ice rink.

MUNICIPALITY OF AMSTERDAM/ZUIDAS
The supervision of a multifunctional collaboration between the municipality of Amsterdam and a developer, for the benefit of a multifunctional area development that forms part of the Masterplan Zuidas.
 
MUNICIPALITY OF ZUIDHORN/EXPANSION AREA
Supervising the municipality in the realization of approximately 300 homes and care construction and supervising the participation of a housing association.

MUNICIPALITY OF KAMPEN/SLENKE ES
Advising the municipality on the redevelopment of the De Slenke Es area, shops, homes, relocation school and a community center.

MUNICIPALITY OF ZWOLLE/SPOOLDERWERK
Supervising and advising the municipality on a project with 80,000 m2 office space and 19,000 m2 pdv/gdv.
 
MUNICIPALITY OF BERGERDEN/GLASS HORTICULTURE
Assisting the municipality of Bergerden with the tender for the development and realization of a greenhouse horticulture area (the influence of government subsidies on the tendering procedure to be chosen, assessing a Turnkey contract).

MUNICIPALITY OF SNEEK/HOUKESLOOT BOULEVARD
Advising the municipality of Sneek on various (strategic) spatial developments including Houkesloot Boulevard (apartment complexes, catering establishments, a water promenade and mooring accommodation), redevelopment of the Sint-Antonius hospital (retail trade, offices and housing), development of a swimming pool, redevelopment of De Potten (a number of recreation areas, campsites and a starting island on and in the Sneekermeer) and expansion areas Pasveer and Duinterpen.

MUNICIPALITY OF TILBURG/INNER CITY DEVELOPMENTS
Supervision of various inner city developments in Tilburg, for example the City-FEC development; the expansion of the FEC exhibition center with a WTC office development, a mega cinema and a transformation assignment for the station area with a program for leisure, hotel, offices and living.

MUNICIPALITY OF AMSTERDAM/DE OMVAL
Overall supervision of the municipality in the realization of De Omval near the Rembrandttoren in Amsterdam, a housing project of 240 homes and 3 parking garages (drawing up contracts, additional/less work and delivery issues).

MUNICIPALITY of NIEUWEGEIN/BUSINESS PARK
Supervising the municipality of Nieuwegein in the development and realization of a large-scale and high-quality business park, applying park management.

MUNICIPALITY OF TILBURG/PIETER VREEDEPLEIN
Guidance in the public-private partnership for the Pieter Vreedeplein in Tilburg: leisure, hospitality, retail and parking.

PROVINCE OF NOORD BRABANT/BUSINESS PARK RESTRUCTURING FUND
Supervision of the Board of the Provincial Executive of the province of North Brabant for the realization of a fund aimed at the restructuring of industrial sites within the province.
 
MUNICIPALITY OF LEEUWARDEN/BUSINESS PARKS
General advice on various housing and business park developments in Leeuwarden. Making cooperation agreements on numerous location developments and various urban restructurings.

MOLIJN DE GROOT FOUNDATION/MFA NUNSPEET
Drawing up a legal/organizational framework for the construction of a multifunctional accommodation. Advising on the contracting (CV) for the realization of the project in Nunspeet.

MUSEUM THE HERMITAGE AMSTERDAM
Boot Advocaten assisted the Hermitage aan de Amstel Foundation with the legal aspects regarding the establishment of the museum with exhibition spaces, the Russian culture centre, a museum shop, the auditorium and the café-restaurant Neva.

LIBRARY GROUP LEK & IJSSEL
Boot Advocaten advises the Lek & IJssel library group on contracts for the purchase and renovation of various projects. This group consists of the libraries in Houten, Houten-Zuid, Vianen, Benschop and IJsselstein.
 
POELZONE WESTLAND
Boot Advocaten assisted Grontmij BV in a joint project of the municipality of Westland, the Hoogheemraadschap Delfland and the Ons Nieuwe Westland development company. The Poelzone project covers an area of 500 ha and represents an investment program of € 125,000,000. Boot Advocaten is involved in advising on the collaboration among other things

MELMERPARK/POLDERPOORT KAMPEN 
Boot Advocaten advised and assisted Polderpoort BV, both in and out of court, among others. This concerned the business park to be realized, consisting of large-scale and peripheral retail, hotel and other hospitality facilities, other commercial facilities, parking and green facilities and associated infrastructure with a size of approximately 8.5 hectares.

ONDERDIJKSERIJWEG ZWIJNDRECHT
Boot Advocaten assisted project developer AMS in the realization of the cooperation agreement concluded with Bouwfonds for the realization of the Onderdijkserijweg project in Zwijndrecht.

NIEUWE RHIJNGEEST OEGSTGEEST
Boot Advocaten conducted the negotiations and litigated the land transactions, drew up contracts for cooperation and project development (from self-realization model to construction claim model) and supervised negotiations between developers themselves and with the Municipality, during which various administrative, legal and tax issues were reviewed. Boot Advocaten takes care of the necessary land transactions.

PROJECT ORANJEBUURT SASSENHEIM
For years, Boot Advocaten has been acting as an advisor to De Vooringang (housing corporation) in the development and realization of the Oranjebuurt in Sassenheim (ca.  250 owner-occupied and rental properties). The Oranjebuurt project in Sassenheim was designated as the exemplary project in the housing corporation sector by the Minister of Housing, Spatial Planning and the Environment. For this prestigious project development, Boot Advocaten set up and successfully executed the Tender Procedure and drew up the necessary legal and fiscal integrated agreements. 

SINT JEROENSWEG SQUARE NOORDWIJK
Boot Advocaten is assisting the Noordwijk housing association with the tendering, land, realization and purchase agreements for a housing project with approximately 51 homes and an underground parking basement with approximately 70 parking spaces.

PUBLIC AREAS LELYSTAD
Boot Advocaten advises the housing association on the redevelopment in Lelystad on the basis of a public-private framework agreement with the municipality with a term of thirty years. Based on this framework agreement, various large residential areas and public areas of Lelystad (Schouw, Kogge, Punter, etc.) are being completely redeveloped. Boot Advocaten supervised and structured a partnership between a project developer/contractor and two housing associations  for the purchase of plots of land in the Breda railway zone and the proposed new developments (residential, office). In collaboration with tax specialists, the most optimal tax/legal structure has been set up that offers advantages in the field of corporate income tax, public tax and VAT.

PROJECT STAR POOL WASSENAAR
Boot Advocaten advises the Wassenaarsche Bouwstichting on the sale and realization of a new construction plan for the location of the former Sterrenbad in Wassenaar. Boot Advocaten supports the foundation in the negotiations with the municipality about the land transaction and the new buildings.

VROONEMEER NORTH
